Terms of Service
The legal agreement between you and SearchQ, Inc. governing your use of the SearchQ AI chat service. Covers eligibility, accounts, acceptable use, AI output disclaimers, subscriptions, intellectual property, and dispute resolution.

These Terms of Service (the "Terms") form a binding agreement between you ("you", "your", or "User") and SearchQ, Inc., a Delaware corporation ("SearchQ", "we", "us", or "our"), and govern your access to and use of the SearchQ website, applications, browser extensions, mobile apps, APIs, and related AI chat services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
Section 13 (Governing Law; Binding Arbitration; Class-Action Waiver) requires you to resolve most disputes with us on an individual basis through binding arbitration and waives your right to bring claims as a class. Please read it carefully.
1. The Service
SearchQ provides an artificial-intelligence chat interface that routes your prompts to one or more third-party large-language-model providers (including providers reached via OpenRouter) and returns generated responses ("Outputs"). The Service may also include related features such as conversation history, file uploads, model selection, usage dashboards, and integrations.
We may add, remove, change, or limit features at any time. Beta or experimental features may be offered "as-is" and discontinued without notice.
2. Eligibility
You may use the Service only if:
- You are at least 13 years old. If you are under 18 (or the age of majority in your jurisdiction), you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.
- You are not barred from using the Service under the laws of the United States or your place of residence.
- You are not on any U.S. government list of prohibited or restricted parties and are not located in a country subject to U.S. embargo.
- You have the authority to enter into these Terms (and, if accepting on behalf of an organization, you have authority to bind that organization).
If we learn that we have collected personal information from a child under 13, we will delete that information promptly.
3. Accounts
You may use the Service as an anonymous guest with limited functionality, or you may create an account using a supported sign-in method (Google or email one-time password). You agree to:
- Provide accurate, current, and complete information and keep it updated;
- Keep your credentials confidential and not share your account;
- Be responsible for all activity that occurs under your account; and
- Notify us promptly at [email protected] if you suspect unauthorized access.
You may close your account at any time from the Settings → General → Delete account menu.
4. Subscriptions, Billing, and Free Tiers
The Service offers a free tier (with daily usage limits) and paid subscription plans (Plus, Pro, and Max) with higher limits and access to additional models. Anonymous guests receive a small daily allowance.
- Fees and billing. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe, in U.S. dollars. By providing a payment method you authorize SearchQ and Stripe to charge that method for all amounts due, including taxes.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until you cancel. You can cancel at any time from the Settings → Billing menu; cancellation takes effect at the end of the current period.
- Refunds. Except where required by applicable law, all payments are non-refundable, and we do not provide refunds or credits for partial subscription periods, unused message allowances, or downgrades.
- Price changes. We may change our prices on at least thirty (30) days' notice. Price changes take effect at your next renewal.
- Usage limits. Each plan is subject to message- or budget-based usage limits described at sign-up. When you reach a limit, certain models may be temporarily unavailable until the next reset window or until you upgrade.
- Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes.
5. Acceptable Use
You agree not to (and not to allow any third party to):
- Use the Service to violate any law, regulation, or third-party right;
- Generate or distribute content that is unlawful, defamatory, hateful, harassing, threatening, sexually explicit involving minors, or that depicts or incites real-world violence;
- Use the Service to create biological, chemical, nuclear, or radiological weapons, malware, or any tool primarily designed to cause harm;
- Submit personal data of others without lawful basis, or submit "protected health information" subject to HIPAA, payment-card data, or other regulated data;
- Use the Service for high-risk activities where failure could lead to death, personal injury, or severe environmental damage (including without limitation medical diagnosis or treatment, legal advice, financial advice, employment decisions, life-safety systems, or critical infrastructure);
- Attempt to reverse-engineer the Service, our prompts, model weights, or safety systems; circumvent rate limits or usage caps; or scrape, mirror, or harvest Outputs to train, fine-tune, or evaluate another machine-learning model that competes with the Service;
- Misrepresent Outputs as human-generated where prohibited by law, or otherwise use Outputs in a manner intended to deceive;
- Probe, scan, or test the vulnerability of the Service, or breach any security or authentication measure;
- Use the Service to send spam, phishing messages, or other unsolicited communications; or
- Resell, sublicense, or commercially exploit the Service except as expressly permitted.
We may, at our sole discretion, suspend or terminate your access for actual or suspected violations and cooperate with law-enforcement requests where required.
6. Your Content; Inputs and Outputs
"Inputs" means the prompts, files, instructions, and other content you submit to the Service. "Outputs" means the responses the Service generates in reply.
- Ownership of Inputs. You retain all rights you already hold in your Inputs. You represent and warrant that you have all rights necessary to submit your Inputs and that doing so does not infringe any third-party right.
- License to operate the Service. You grant SearchQ a worldwide, non-exclusive, royalty-free license to host, store, transmit, reproduce, modify (e.g., to format), and process your Inputs and Outputs solely to operate, maintain, secure, and improve the Service for you, to comply with law, and to enforce these Terms.
- Outputs. Subject to your compliance with these Terms, as between you and SearchQ, you own the Outputs generated in response to your Inputs, and you may use them for any lawful purpose, including commercial purposes. You are responsible for evaluating any Output before relying on or distributing it.
- No uniqueness; similar outputs. Other users may submit similar Inputs and receive similar or identical Outputs. Outputs that are not original to you are not owned by you.
- No training; Zero Data Retention. We do not use your Inputs or Outputs to train or fine-tune our or any third party's foundation models. Your Inputs and Outputs are transmitted to upstream model providers (such as OpenRouter and the providers it routes to) solely to generate a response, subject to those providers' own data-handling policies. For every model that supports it, we enforce Zero Data Retention (ZDR) routing, so the upstream provider does not store your Inputs or Outputs after generating a response. A small number of models do not offer a ZDR endpoint; these remain available in the model picker, and your Inputs and Outputs sent to them are subject to the upstream provider's own data-handling policy. The Service also offers an Incognito Mode that restricts a chat to ZDR-capable models only, excludes it from your chat history, and deletes it after you close the tab, as described in our Privacy Policy. - Feedback. If you send us suggestions or feedback, you grant SearchQ a perpetual, irrevocable, royalty-free, worldwide license to use it without restriction or compensation.
7. AI Output Disclaimer
Large-language-model Outputs can be inaccurate, incomplete, misleading, biased, or offensive, and may "hallucinate" facts, citations, code, or quotations that do not exist. The Service is provided as an information and productivity tool and is not a substitute for professional advice. Do not rely on Outputs as a sole source for medical, legal, financial, tax, mental-health, safety, or other consequential decisions. Always independently verify Outputs before acting on them, and use human judgment in any high-stakes context. Your use of any Output is at your own risk.
8. Intellectual Property in the Service
The Service, including all software, design, text, graphics, logos, model selections, prompts, documentation, and other materials we provide, is owned by SearchQ or its licensors and is protected by U.S. and international intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes. No other rights are granted by implication, estoppel, or otherwise. "SearchQ" and our logos are our trademarks; you may not use them without prior written permission.
9. Third-Party Services
The Service relies on third-party services, including model providers reached through OpenRouter (such as OpenAI, Anthropic, and Google), payment processing (Stripe), observability (Langfuse), web search (e.g., Tavily), email delivery, and cloud hosting. Your use of those features may be subject to those third parties' terms and privacy policies. We are not responsible for third-party services, and any third-party links or integrations are provided as a convenience.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access — with or without notice — if we reasonably believe you have violated these Terms, if required by law, or if continuing to provide the Service to you would create a security, legal, or operational risk. On termination, Sections 6, 7, 8, 10, 11, 12, 13, 14, and 15 survive.
11. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and quiet enjoyment. SearchQ does not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that Outputs will meet your requirements or be accurate. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, our warranties are limited to the minimum extent permitted by law.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SEARCHQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, arising out of or relating to the Service, Outputs, or these Terms, even if we have been advised of the possibility of such damages.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.
13. Governing Law; Binding Arbitration; Class-Action Waiver
- Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Informal resolution. Before filing a claim, you and SearchQ agree to try to resolve any dispute informally by contacting [email protected] with a brief description and the relief you seek. We will attempt in good faith to resolve the dispute within sixty (60) days.
- Binding individual arbitration. Any dispute that is not resolved informally will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules in San Francisco, California (or remotely, where available), before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
- Class-action waiver. You and SearchQ each waive any right to participate in a class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.
- Exceptions. Either party may (i) bring an individual claim in small-claims court, or (ii) seek injunctive or other equitable relief in court to protect intellectual-property rights.
- Opt-out. You may opt out of this arbitration agreement by emailing [email protected] with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
14. Indemnification
You will defend, indemnify, and hold harmless SearchQ and its affiliates from any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your Inputs, (b) your use of Outputs, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
15. General
- Changes. We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-product). Continued use of the Service after the changes take effect constitutes acceptance.
- Entire agreement. These Terms (together with the Privacy Policy and any order forms) are the entire agreement between you and SearchQ regarding the Service and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be modified only to the minimum extent necessary.
- No waiver. Our failure to enforce any right is not a waiver.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to events beyond its reasonable control.
- Notices. Notices to you may be sent to the email associated with your account. Notices to us must be sent to [email protected].
- Export controls. You will comply with all applicable U.S. export-control and sanctions laws.
- U.S. government users. The Service is "commercial computer software" as defined in FAR 12.212 and DFARS 227.7202; use by U.S. government users is subject to standard commercial-license terms.
